Low Cost Reserve Funding for your Public Company

The actual cost of funding a company receives through a Reserve Funding Agreement (“RFA”) with RF Global Holdings LLC (“RF Global”) is less than the cost of raising capital by some other methods. For instance, raising capital in the United States as well as some other countries, through a broker-dealer or investment banking firm has various costs associated with such a transaction. These costs in some situations can be significant.

Typical costs associated with raising capital through a placement agent such as a broker-dealer or investment banking firm are 10% of the amount raised plus as much as 3% for expenses, a discount of 15% to 30% on the company’s current share price and legal fees of the placement agent and investor which can be $20,000 to $30,000.

The costs associated with funding through our RFA are a 2% commitment fee and 10% discount off the volume weighted average price (“VWAP”), both of which apply for most countries. Also, there is what we consider one of the lowest legal documentation fees paid to our legal counsel with which we have negotiated a reduced rate. We use one of the most reputable firms in New York. So in most cases a company can save at least 10% on the overall cost of funding it is seeking. This savings can be considerable one considers that most companies seek funding of over USD 5,000,000 when then conduct their capital raising efforts.

In addition to the low cost associated with our RFA structure there are a number of other significant benefits that companies should consider when comparing the methods of raising capital for growth and expansion. Flexibility is provided since the RFA can be easily modified to fit a company’s particular needs, as long as mutually acceptable to RF Global and it meets our investment criteria. Control of the timing and amount of the funding is in the hands of the company, subject to certain market conditions such as price and volume. Floor Price is set by the company at the beginning of each draw down period to provide the company with share price protection.
